FoxEra Inventory — Terms of Service

Effective Date: 17 September 2026

Last Updated: 24 September 2026

Version: 2026-09-24.1

These Terms govern the FoxEra hospitality-inventory web service (the

“Service”). The Service is provided by FOXERA LTD (company number 16965121,

United Kingdom) (“FoxEra”, “we”, “us” or “our”). By creating an account or using the Service, you agree to these

Terms and the [Privacy Policy](/privacy).

1. Business use and accounts

FoxEra is for business operators and their authorised staff. You must be old

enough to enter a binding agreement under the law that applies to you and

must have authority to bind the organisation you represent. Keep account

details private, use accurate information and tell us promptly if an account

is compromised. You are responsible for activity carried out through your

account and for choosing appropriate staff permissions.

2. Licence and acceptable use

Subject to these Terms, FoxEra grants you a limited, non-exclusive,

non-transferable and revocable licence to use the Service for your internal

business operations. You must not:

We may restrict or suspend access where reasonably necessary to protect users,

the Service or third parties, or to comply with law. We will give an

explanation where it is safe and practical to do so.

3. Your data and content

You retain your rights in recipes, ingredients, supplier records, stock,

sales data, uploads and other content you submit (“Customer Data”). You give

FoxEra the limited licence needed to host, back up, display and process

Customer Data to provide, secure and improve the Service and to comply with

law. You are responsible for the accuracy, lawful collection and lawful use

of Customer Data, including any personal data belonging to staff, suppliers

or customers.

Keep your own appropriate exports or backups. Features that import, scan,

count, generate or analyse data may produce errors; review important results

before relying on them operationally.

4. Credits and charges

The core Service is available without a recurring subscription. New

organisations currently receive a starting balance of free credits as shown

in the Service. Some AI, import, integration and operational actions consume

credits; the balance, credit cost and any price are shown before a chargeable

action or top-up. The Service can continue to display and manage data when a

balance is zero, while metered actions may pause.

Top-ups are one-off purchases selected and confirmed by an authorised user.

They do not renew automatically. Applicable taxes, payment-processor terms

and any refund rights required by law apply. A refund or credit adjustment is

handled through the support route and the checkout terms shown at the time;

unused credits are not cash except where the law requires otherwise. We may

change credit prices or packages with notice in the Service, but a change

does not rewrite a completed purchase.

5. AI features and third-party services

AI and automated features are assistive tools, not professional, legal,

financial, food-safety or employment advice. Check outputs before acting.

The Service depends on hosting, payment, authentication, analytics and AI

providers. Data sent to an enabled provider is limited to what is needed for

the requested feature and is handled as described in the Privacy Policy and

that provider’s terms. An integration may stop working when a third party

changes or withdraws its service.

6. Privacy and product telemetry

Our [Privacy Policy](/privacy) explains what we collect, why we use it, who

processes it and how to exercise rights. While a user is signed in, FoxEra

may record the pages opened, controls selected and general pointer position

to improve the product; it does not record what the user types, passwords or

payment details. Do not put personal or confidential information into fields

that are not intended for it.

7. Intellectual property

FoxEra and its licensors own the Service, including its code, design, text,

logos and documentation. Except for the limited licence above, no rights are

transferred. You retain rights in Customer Data and must ensure that your

uploads do not infringe another person’s rights.

8. Portfolio and brand use — separate permission required

Using FoxEra does not by itself authorise FoxEra to publish your business

name, logo, website address, screenshots, case study or other brand material.

If you give separate written approval (including a clearly recorded checkbox

or email confirmation), you grant FoxEra a non-exclusive, worldwide,

royalty-free licence to display the approved material and a link to the

website(s) FoxEra created or manages for you in FoxEra’s portfolio, case

studies, service pages or landing pages, solely to show FoxEra’s work.

You confirm that you have authority to grant that licence and that the

approved material does not breach a third party’s rights. FoxEra will not

publish credentials, private analytics, confidential information or personal

data that is not approved for publication. You may withdraw permission for

future publication by emailing david@foxera.uk; FoxEra will stop new use

and request removal from pages it controls within 30 days. Cached or

third-party copies may remain outside FoxEra’s control. No portfolio or

brand permission exists until that separate approval is recorded.

9. Availability and changes

We work to keep the Service available, but do not promise uninterrupted or

error-free operation. Maintenance, security work, provider outages and

events outside our reasonable control can affect availability. We may add,

remove or change features and will try to give reasonable notice of material

changes. Changes to these Terms take effect on the stated date; continued use

after that date means you accept the updated Terms, subject to any rights

that cannot lawfully be waived.

10. Suspension and termination

You may stop using the Service or request account closure through the

available account controls or by contacting us. We may suspend or terminate

access for a serious or repeated breach, unlawful use, security risk or

non-payment of an amount properly due. On closure, access to Customer Data

may end and data may be deleted according to the Privacy Policy and our

backup/deletion processes. We retain information where necessary for law,

security, dispute resolution or accounting.

11. Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be

excluded, including for death or personal injury caused by negligence, fraud

or fraudulent misrepresentation. Subject to that, FoxEra is not liable for

indirect or consequential loss, loss of profit, business opportunity or data

caused by your failure to keep backups, misuse of the Service or a third

party service. Our total liability for a claim is limited to the greater of

the amounts you paid to FoxEra for the Service in the preceding 12 months or

£100. Business users should maintain appropriate insurance and backups.

You are responsible for the data, content and instructions you put into the

Service and for the business decisions you make using it, including stock,

ordering, pricing, allergen and food-safety decisions. If FoxEra faces a

claim, fine or cost because of that data, content or use — for example

personal data you uploaded without a lawful basis, content you did not have

the right to use, or a breach of law by you — you agree to cover FoxEra’s

reasonable costs and losses. We will tell you promptly and let you lead the

response, provided you do not admit fault or settle in a way that creates

obligations for us without asking us first.

12. Governing law and contact

These Terms are governed by the law of England and Wales. Courts in England

and Wales have jurisdiction, subject to any mandatory rights you have under

the law where you live. For support, notices, privacy requests or to record

or withdraw portfolio permission, contact david@foxera.uk or

+44 7850 450096. Please do not send passwords or payment-card details by

email or WhatsApp.

If a provision is unenforceable, the remaining provisions continue. These

Terms and the Privacy Policy are the agreement about the Service unless a

separate written order expressly overrides them.
